Terms of Service

The Platform is for persons at least 18 years of age (or who have the consent and supervision of a parent or guardian) and who are capable of forming a binding contract under applicable law. You confirm that you are joining the Platform voluntarily, of your own free will, without any force, coercion, or undue influence. We do not force or pressure anyone to join. Joining is a voluntary personal decision, and you are free to decline, cancel at any time, or discontinue use, subject to these Terms.

Guild is an educational and professional-development ecosystem providing structured learning (the "Guild Academy"), AI-powered tools and automation, verified business outreach resources, ready-to-sell product templates, mentorship guidance, and community. A paid subscription grants access to Platform features in accordance with the plan you select, on a month-to-month subscription basis unless otherwise stated.

WE MAKE NO GUARANTEE, WARRANTY, OR REPRESENTATION WHATSOEVER REGARDING ANY INCOME, EARNINGS, REVENUE, SALES, PROFITS, OR ANY OTHER FINANCIAL OR PROFESSIONAL RESULT ARISING FROM YOUR USE OF THE PLATFORM. Any figures, examples, or testimonials are illustrative only, are not typical, and are not a promise or projection of your results. Your results depend entirely on your own effort, skills, consistency, and market conditions. You agree that you have not been promised, and do not expect, any guaranteed income, employment, clients, sales, or outcomes by joining.

• Fees are charged in advance on a recurring monthly basis until cancelled. Promotional pricing may revert to the standard price thereafter.
• Payments are processed through PCI-DSS-compliant third-party gateways; we do not store full card, UPI, or bank credentials.
• Taxes, where applicable, are additional. Subscriptions are personal and non-transferable.
• You may cancel anytime; cancellation takes effect at the end of the current billing period. No pro-rata refunds or credits are provided (see Refund Policy).
• Free trials and promotions are subject to these Terms and their stated conditions. We may modify pricing and features with reasonable notice.

All subscription payments are final and non-refundable. By completing a payment you acknowledge that you are purchasing digital content and services delivered instantly upon payment. We do not offer refunds, credits, or exchanges except where required by mandatory applicable law. See our Refund Policy.

• You are responsible for keeping your credentials confidential and for all activity under your account.
• You agree to provide accurate, current information and keep it updated.
• Notify us immediately of unauthorized use. Accounts are non-transferable and may not be shared or sold.

You agree not to:

• Violate any applicable law or the rights of others.
• Share, resell, redistribute, or sublicense your access or subscription.
• Copy, scrape, reproduce, or exploit Platform content or branding without written consent.
• Upload viruses or attempt unauthorized access to our systems.
• Harass, abuse, defame, or harm other users, mentors, or staff.
• Use the Platform for spam, fraud, or any unlawful purpose.

All Platform content — including lessons, videos, templates, scripts, methodologies, software, design, text, graphics, logos, and trademarks — is the property of FradX Investments or its licensors. Your subscription grants a limited, personal, non-exclusive, non-transferable, revocable license for your own learning and professional development. No other rights are granted.

The Platform provides educational content and general guidance only. Nothing constitutes legal, financial, tax, investment, or professional advice tailored to your circumstances. Business databases and outreach resources are provided "as is". Interactions with third parties are solely between you and those third parties.

You are solely responsible for content you post or share. You grant us a worldwide, royalty-free, perpetual license to host, display, and use such content to operate and improve the Platform. We may remove or moderate user content in our sole discretion. Mentorship guidance is informational only and does not create a professional-client relationship.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ALL CONTENT, TOOLS, SERVICES, AND MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, OR AVAILABILITY. We do not warrant uninterrupted, error-free, secure, or virus-free operation, or that any results will be accurate or reliable.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRADX INVESTMENTS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF PROFITS, DATA, REVENUE, INCOME, GOODWILL, OR BUSINESS OPPORTUNITY — ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR ENTIRE LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES YOU ACTUALLY PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. Where exclusions or limitations are not permitted by law, our liability is limited to the maximum extent permitted.

You agree to indemnify, defend, and hold harmless FradX Investments and its affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any law or third-party rights; (d) any content you submit; or (e) your business activities or client interactions in connection with skills learned on the Platform.

We may suspend or terminate your account, in whole or in part, at any time, with or without notice, in our sole discretion, if we reasonably believe you have violated these Terms or engaged in harmful conduct, or if required by law. You may cancel your subscription at any time effective at the end of the current billing period. Provisions that by their nature should survive termination — including Sections 3, 5, 8, 11, 12, 13, 15, 16, and 17 — shall survive.

These Terms are governed by the laws of India. Any dispute shall be subject to the exclusive jurisdiction of the courts of New Delhi, India. The parties agree to attempt good-faith negotiation before litigation. Any claim must be commenced within one (1) year of accrual; otherwise it is permanently barred.

• Failure to enforce a provision is not a waiver of that or any other provision.
• If any provision is invalid or unenforceable, the remaining provisions remain in full force.
• These Terms, together with the Privacy Policy, Cookies Policy, and Refund Policy, constitute the entire agreement between you and FradX Investments.

We may modify these Terms at any time. Material changes will be notified through the Platform or by email. Continued use after posting constitutes acceptance. It is your responsibility to review these Terms periodically.
