1. Acceptance of These Terms
These Terms and Conditions ("Terms") form a legally binding agreement between you ("Partner", "you", "your") and Ozontrix Technologies ("Company", "we", "our", "us") governing your access to and use of the Guild platform ("Platform"). By registering, accessing or using the Platform in any manner, you confirm that you have read, understood and unconditionally agree to be bound by these Terms, the Privacy Policy and the Refund Policy. If you do not agree to any provision, you must not access or use the Platform.
2. Definitions & Interpretation
"Guild" or "Platform" means the digital learn-and-earn platform operated by the Company; "Bounty" or "Commission" means a service package listed for resale; "Client" means the third party to whom a Partner sells a Bounty; "Services" means the digital services (such as websites, applications, advertising, design and related deliverables) provided by the Company; "Joining Fee" means the one-time, non-subscription fee charged for membership. Headings are for convenience only and shall not affect interpretation.
3. Eligibility & Registration
You must be at least 18 years of age and competent to enter into a legally binding contract to register as a Partner. You agree to provide complete, accurate and current information during registration and to keep your account details updated. You further represent that your use of the Platform does not violate any law applicable to you, including the laws of the Republic of India.
4. Membership & Joining Fee
Guild membership requires a one-time Joining Fee of ₹299, payable in Indian Rupees through Cashfree or such payment gateway as the Company may designate. The Joining Fee grants lifetime access to the Platform and is not a subscription, deposit or recurring charge. Unless otherwise provided in the Refund Policy, the Joining Fee is non-refundable once your access credentials have been delivered and you have successfully logged in. Membership is personal, non-transferable and non-assignable.
5. Credentials & Account Security
Upon successful payment, your login credentials are delivered to the phone number and email address provided by you. You are solely responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us immediately if you suspect unauthorised use or a breach of security, and you shall not share, sell, lend or otherwise disclose your credentials to any third party.
6. Platform Services & Bounty Board
The Platform provides training content, scripts, templates and a Bounty Board of digital service packages which Partners may pitch and resell to Clients. The Company may, at its sole discretion, add, modify, suspend or remove Bounties, prices, training material or features at any time with or without prior notice. Nothing in these Terms creates an employment, agency, partnership or joint-venture relationship between you and the Company.
7. Partner Obligations & Client Relationships
You are an independent sales partner. You are responsible for identifying prospective Clients, communicating with them, and completing the sale of Bounties in accordance with the training and scripts provided. You shall not misrepresent the Company, its Services, quality or delivery timelines to any Client. Any contract for the sale of Services is concluded directly between you and the Client, and you remain responsible for the accuracy of all representations made by you.
8. Commissions, Pricing & Payouts
You may sell a Bounty at any price above the Guild (base) price, and your commission is the difference between the selling price received from the Client and the base price payable to the Company. Payouts are processed only after the Company verifies the completed transaction and receipt of payment. Payouts are subject to applicable deductions including statutory taxes, and the Company may withhold a payout where fraud, misrepresentation or breach is suspected, pending investigation.
9. Payment Terms, Taxes & Financial Matters
All amounts payable under these Terms are denominated in Indian Rupees. You shall remit the base price for each closed deal to the Company on or before the timelines notified on the Platform. You are responsible for collecting payments from Clients and for complying with all applicable tax laws, including the declaration of income earned through the Platform. The Company may, where required by law, deduct or withhold taxes and issue appropriate documentation.
10. No Guarantee of Earnings
Membership does not guarantee any minimum earnings, deals, leads or results. Earnings depend on your individual effort, skill, consistency and prevailing market conditions. Any figures, testimonials or examples displayed on the Platform are illustrative only and do not constitute a promise, warranty or representation of future earnings. You acknowledge that you are joining the Platform to acquire skills and opportunities and not an assured income.
11. Prohibited Conduct
You shall not engage in any fraudulent, deceptive, unethical or unlawful activity, including but not limited to: creating fake Clients or fake deals; spamming; misrepresenting the Platform or its Services; using stolen or unauthorised payment instruments; infringing the rights of any third party; attempting to access, scrape, disrupt or reverse engineer the Platform; or using the Platform for any activity that violates applicable law.
12. Intellectual Property
All content on the Platform, including training material, scripts, templates, branding, software, graphics and layout, is owned by the Company or its licensors and is protected by applicable intellectual property laws. During your membership, you are granted a limited, personal, non-exclusive, revocable licence to use such content solely for your own sales activities. You shall not copy, reproduce, resell or redistribute Platform content except as expressly permitted.
13. Data Protection & Privacy
Your personal information is collected, stored and processed in accordance with our Privacy Policy, which forms an integral part of these Terms. By using the Platform you consent to such collection and processing, including the delivery of credentials and updates to your registered phone number and email address. 14. Refunds & Cancellations
Refunds are governed exclusively by the Refund Policy, which is incorporated into these Terms by reference. In summary: because access is delivered electronically and immediately, the Joining Fee is generally non-refundable after credentials are delivered and login succeeds; however, if credentials are not delivered within forty-eight (48) hours of payment, or in cases of duplicate or mistaken payment, a full refund will be processed to the original payment method within five to seven (5–7) business days.
15. Disclaimer of Warranties
To the maximum extent permitted by law, the Platform and all content, training and Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement or uninterrupted or error-free operation. The Company does not warrant that the Platform will meet your expectations or that any deal, lead or payout will be achieved.
16. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, data, goodwill or opportunity, arising out of or in connection with these Terms or your use of the Platform. The aggregate liability of the Company for all claims relating to the Platform shall not exceed the total Joining Fee actually paid by you in the twelve (12) months preceding the claim.
17. Indemnification
You agree to indemnify, defend and hold harmless the Company, its directors, officers, employees, agents and affiliates from and against any claims, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your use or misuse of the Platform; (c) any dispute between you and a Client; or (d) your violation of any applicable law or the rights of any third party.
18. Suspension & Termination
The Company may, at its sole discretion and with or without notice, suspend or terminate your access to the Platform if you breach these Terms, engage in fraudulent or unlawful activity, or where required by law. Upon termination, your licence to use the Platform ceases immediately and the Company may forfeit any pending commissions arising from fraudulent activity. Provisions that by their nature should survive termination, including disclaimers, limitations of liability and indemnification, shall survive.
19. Amendments, Severability & Waiver
The Company may amend these Terms at any time by posting the revised Terms on the Platform. Your continued use of the Platform after such amendments constitutes acceptance of the revised Terms; for material changes, the Company will endeavour to notify you through the Platform or by email. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect. A failure by the Company to enforce any provision shall not constitute a waiver.
20. Governing Law, Jurisdiction & Contact
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved amicably between the parties, and failing that, shall be subject to the exclusive jurisdiction of the competent courts at the place where the Company has its registered office. These Terms, together with the Privacy Policy and the Refund Policy, constitute the entire agreement between you and the Company.
